Article 1 \u2014 Definitions<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

\nNestes Termos e Condi\u00e7\u00f5es, aplicam-se as seguintes defini\u00e7\u00f5es:\n<\/p>\n\n

\n1.1 <\/strong>\nContratada\n<\/p>\n\n

A empresa ou neg\u00f3cio operando sob o nome Ipanema International, estabelecida em Amsterd\u00e3, Pa\u00edses Baixos, registrada na C\u00e2mara de Com\u00e9rcio Holandesa sob o n\u00famero de registro 97934704.<\/p>\n\n

<\/div>\n\n

\n1.2 <\/strong>\nCliente\n<\/p>\n\n

\nAny natural person, legal entity, investor, company or affiliated entity purchasing services from the Contractor.\n<\/p>\n\n

<\/div>\n\n

\n1.3 <\/strong>\nNossos Servi\u00e7os\n<\/p>\n\n

\nAll services performed by the Contractor, including but not limited to:\n<\/p>\n\n

    \n
  • consultancy;<\/li>\n
  • strategic advisory;<\/li>\n
  • international market entry;<\/li>\n
  • commercial guidance;<\/li>\n
  • introductions;<\/li>\n
  • sourcing;<\/li>\n
  • business development;<\/li>\n
  • networking services;<\/li>\n
  • negotiations;<\/li>\n
  • real estate-related support;<\/li>\n
  • commercial intermediation;<\/li>\n
  • deal sourcing;<\/li>\n
  • investment introductions;<\/li>\n
  • support with international transactions.<\/li>\n<\/ul>\n\n
    <\/div>\n\n

    \n1.4 <\/strong>\nThird Parties\n<\/p>\n\n

    \nAny external party including:\n<\/p>\n\n

      \n
    • brokers;<\/li>\n
    • notaries;<\/li>\n
    • attorneys;<\/li>\n
    • consultants;<\/li>\n
    • investors;<\/li>\n
    • banks;<\/li>\n
    • financial institutions;<\/li>\n
    • developers;<\/li>\n
    • governmental authorities;<\/li>\n
    • local partners;<\/li>\n
    • intermediaries.<\/li>\n<\/ul>\n\n
      <\/div>\n\n

      \n1.5 <\/strong>\nTransaction\n<\/p>\n\n

      \nAny direct or indirect agreement, investment, purchase, sale, cooperation, financing, joint venture, participation or commercial relationship resulting from the Contractor\u2019s activities or introductions.\n<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

      Article 2 \u2014 Applicability<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

      \n2.1 <\/strong>\nThese Terms & Conditions apply to all:\n<\/p>\n\n

        \n
      • quotations;<\/li>\n
      • agreements;<\/li>\n
      • assignments;<\/li>\n
      • offers;<\/li>\n
      • services;<\/li>\n
      • follow-up assignments;<\/li>\n
      • legal relationships between the parties.<\/li>\n<\/ul>\n\n
        <\/div>\n\n

        \n2.2 <\/strong>\nDeviations from these Terms & Conditions shall only be valid if confirmed in writing by the Contractor.\n<\/p>\n\n

        <\/div>\n\n

        \n2.3 <\/strong>\nAny general terms and conditions of the Client are expressly rejected.\n<\/p>\n\n

        <\/div>\n\n

        \n2.4 <\/strong>\nIf any provision is found to be invalid or unenforceable, the remaining provisions shall remain fully effective.\n<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

        Article 3 \u2014 Nature of the Services<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\t

        \n3.1 <\/strong>\nThe Contractor performs its services solely on a best-efforts basis and explicitly not on the basis of guaranteed results.\n<\/p>\n\n

        <\/div>\n\n

        \n3.2 <\/strong>\nThe Contractor acts exclusively as:\n<\/p>\n\n

          \n
        • consultant;<\/li>\n
        • advisor;<\/li>\n
        • commercial intermediary;<\/li>\n
        • strategic facilitator;<\/li>\n
        • business introducer.<\/li>\n<\/ul>\n\n
          <\/div>\n\n

          \n3.3 <\/strong>\nThe Contractor is not:\n<\/p>\n\n

            \n
          • a notary;<\/li>\n
          • attorney;<\/li>\n
          • tax advisor;<\/li>\n
          • financial advisor;<\/li>\n
          • investment advisor;<\/li>\n
          • bank;<\/li>\n
          • regulated financial intermediary;<\/li>\n
          • regulated real estate broker, unless otherwise agreed in writing and legally permitted.<\/li>\n<\/ul>\n\n
            <\/div>\n\n

            \n3.4 <\/strong>\nAny local real estate activities or regulated services shall be carried out by independent authorized third parties.\n<\/p>\n\n

            <\/div>\n\n

            \n3.5 <\/strong>\nAll information provided is of a general commercial nature only and shall not be considered:\n<\/p>\n\n

              \n
            • legal advice;<\/li>\n
            • financial advice;<\/li>\n
            • investment advice;<\/li>\n
            • tax advice;<\/li>\n
            • investment recommendation.<\/li>\n<\/ul>\n\n
              <\/div>\n\n

              \n3.6 <\/strong>\nThe Client remains fully responsible at all times for:\n<\/p>\n\n

                \n
              • its own investment decisions;<\/li>\n
              • due diligence;<\/li>\n
              • legal review;<\/li>\n
              • tax assessment;<\/li>\n
              • verification of ownership;<\/li>\n
              • permits and licenses;<\/li>\n
              • compliance obligations;<\/li>\n
              • local regulations;<\/li>\n
              • transaction risks.<\/li>\n<\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
                \n\t\t\t\t\t\t\t
                \n\t\t\t
                <\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
                \n\t\t\t\t\t

                Article 4 \u2014 Formation of Agreement<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                \n\t\t\t\t\t\t\t\t\t

                \n4.1 <\/strong>\nAll offers and quotations are non-binding unless stated otherwise in writing.\n<\/p>\n\n

                <\/div>\n\n

                \n4.2 <\/strong>\nAn agreement is formed once:\n<\/p>\n\n

                  \n
                • the Client provides written approval;<\/li>\n
                • the Client makes actual use of the services;<\/li>\n
                • the Contractor commences work.<\/li>\n<\/ul>\n\n
                  <\/div>\n\n

                  \n4.3 <\/strong>\nThe Contractor reserves the right to refuse or terminate assignments without stating reasons.\n<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                  \n\t\t\t\t\t\t\t
                  \n\t\t\t
                  <\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
                  \n\t\t\t\t\t

                  Article 5 \u2014 Fees and Success Fees<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                  \n\t\t\t\t\t\t\t\t\t

                  \n5.1 <\/strong>\nCompensation may consist of:\n<\/p>\n\n

                    \n
                  • fixed fees;<\/li>\n
                  • retainers;<\/li>\n
                  • consultancy fees;<\/li>\n
                  • hourly rates;<\/li>\n
                  • commissions;<\/li>\n
                  • success fees;<\/li>\n
                  • combinations thereof.<\/li>\n<\/ul>\n\n
                    <\/div>\n\n

                    \n5.2 <\/strong>\nUnless agreed otherwise in writing, all amounts are exclusive of:\n<\/p>\n\n

                      \n
                    • VAT;<\/li>\n
                    • local taxes;<\/li>\n
                    • transaction costs;<\/li>\n
                    • external expenses;<\/li>\n
                    • banking fees.<\/li>\n<\/ul>\n\n
                      <\/div>\n\n

                      \n5.3 <\/strong>\nIf a success fee has been agreed, entitlement thereto arises once a Transaction is completed directly or indirectly.\n<\/p>\n\n

                      <\/div>\n\n

                      \n5.4 <\/strong>\nA success fee shall remain payable if a Transaction is completed wholly or partially:\n<\/p>\n\n

                        \n
                      • with a party introduced by the Contractor;<\/li>\n
                      • with affiliated entities of such party;<\/li>\n
                      • through intermediaries;<\/li>\n
                      • through family members;<\/li>\n
                      • through holding companies;<\/li>\n
                      • through trusts;<\/li>\n
                      • through investment vehicles;<\/li>\n
                      • through related parties;<\/li>\n
                      • within 24 months after introduction.<\/li>\n<\/ul>\n\n
                        <\/div>\n\n

                        \n5.5 <\/strong>\nThe Contractor shall remain entitled to full compensation regardless of:\n<\/p>\n\n

                          \n
                        • changes in transaction structure;<\/li>\n
                        • changes in ownership;<\/li>\n
                        • partial implementation;<\/li>\n
                        • delayed closing;<\/li>\n
                        • indirect involvement.<\/li>\n<\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
                          \n\t\t\t\t\t\t\t
                          \n\t\t\t
                          <\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
                          \n\t\t\t\t\t

                          Article 6 \u2014 Non-Circumvention<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                          \n\t\t\t\t\t\t\t\t\t
                            \n\n
                          1. \n\nThe Client shall not, during the term of the agreement and for 24 months thereafter, enter into direct or indirect transactions with parties introduced by the Contractor without the Contractor\u2019s prior written consent.\n\n<\/li>\n\n
                            <\/div>\n\n
                          2. \n\nThe Client is prohibited from:\n\n
                              \n\n
                            • directly approaching the Contractor\u2019s contacts;<\/li>\n\n
                            • structuring transactions outside the Contractor;<\/li>\n\n
                            • commercially exploiting introductions without compensating the Contractor.<\/li>\n\n<\/ul>\n\n<\/li>\n\n
                              <\/div>\n\n
                            • \n\nIn case of violation, the Client shall immediately owe a directly payable penalty equal to:\n\n
                                \n\n
                              • the agreed success fee; or<\/li>\n\n
                              • in absence thereof: 15% of the total transaction value, with a minimum of EUR 25,000.<\/li>\n\n<\/ul>\n\n<\/li>\n\n
                                <\/div>\n\n
                              • \n\nThis provision does not affect the Contractor\u2019s right to claim additional damages.\n\n<\/li>\n\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                \n\t\t\t\t\t\t\t
                                \n\t\t\t
                                <\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                \n\t\t\t\t\t

                                Article 7 \u2014 Engagement of Third Parties<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                                \n\t\t\t\t\t\t\t\t\t
                                  \n\n
                                1. \n\nThe Contractor is entitled to engage third parties in connection with the Services.\n\n<\/li>\n\n
                                  <\/div>\n\n
                                2. \n\nThe Contractor shall not be liable for:\n\n
                                    \n\n
                                  • errors;<\/li>\n\n
                                  • negligence;<\/li>\n\n
                                  • fraud;<\/li>\n\n
                                  • misrepresentation;<\/li>\n\n
                                  • shortcomings;<\/li>\n\n
                                  • insolvency;<\/li>\n\n
                                  • breach of obligations by third parties.<\/li>\n\n<\/ul>\n\n<\/li>\n\n
                                    <\/div>\n\n
                                  • \n\nCosts incurred through third parties may be charged to the Client.\n\n<\/li>\n\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                    \n\t\t\t\t\t\t\t
                                    \n\t\t\t
                                    <\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                    \n\t\t\t\t\t

                                    Article 8 \u2014 International Transactions and Brazil<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                                    \n\t\t\t\t\t\t\t\t\t

                                      1. The Client acknowledges that international transactions involve increased risks.<\/p><\/li><\/ol><\/li><\/ol>

                                        \u00a0<\/div>

                                          1. Such risks include but are not limited to:<\/p>

                                            • political risks;<\/li>
                                            • currency risks;<\/li>
                                            • legal uncertainties;<\/li>
                                            • ownership disputes;<\/li>
                                            • administrative restrictions;<\/li>
                                            • corruption risks;<\/li>
                                            • tax changes;<\/li>
                                            • permit procedures;<\/li>
                                            • local regulations.<\/li><\/ul><\/li><\/ol><\/li><\/ol>
                                              \u00a0<\/div>

                                                1. The Contractor provides no guarantees regarding:<\/p>

                                                  • ownership titles;<\/li>
                                                  • legality of real estate;<\/li>
                                                  • permits;<\/li>
                                                  • revenues;<\/li>
                                                  • returns;<\/li>
                                                  • market developments;<\/li>
                                                  • reliability of third parties.<\/li><\/ul><\/li><\/ol><\/li><\/ol>
                                                    \u00a0<\/div>

                                                    1. The Client is required to independently obtain legal, tax and technical advice within the relevant jurisdiction.<\/p><\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                                                      \n\t\t\t\t\t\t\t
                                                      \n\t\t\t
                                                      <\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                                      \n\t\t\t\t\t

                                                      Article 9 \u2014 Payment<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                                                      \n\t\t\t\t\t\t\t\t\t
                                                        \n\n
                                                      1. \n\nInvoices must be paid within 14 days of the invoice date unless agreed otherwise in writing.\n\n<\/li>\n\n
                                                        <\/div>\n\n
                                                      2. \n\nIn the event of late payment, the Client shall be in default by operation of law.\n\n<\/li>\n\n
                                                        <\/div>\n\n
                                                      3. \n\nStatutory commercial interest shall become due from the date of default.\n\n<\/li>\n\n
                                                        <\/div>\n\n
                                                      4. \n\nAll collection costs, legal expenses and other costs shall be borne entirely by the Client.\n\n<\/li>\n\n
                                                        <\/div>\n\n
                                                      5. \n\nThe Contractor has the right to immediately suspend Services in the event of payment arrears.\n\n<\/li>\n\n
                                                        <\/div>\n\n
                                                      6. \n\nPayments made by the Client shall first be applied toward:\n\n
                                                          \n\n
                                                        • interest;<\/li>\n\n
                                                        • costs;<\/li>\n\n
                                                        • oldest outstanding invoices.<\/li>\n\n<\/ul>\n\n<\/li>\n\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                                          \n\t\t\t\t\t\t\t
                                                          \n\t\t\t
                                                          <\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                                          \n\t\t\t\t\t

                                                          Article 10 \u2014 Compliance, AML & KYC<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                                                          \n\t\t\t\t\t\t\t\t\t
                                                            \n\n
                                                          1. \n\nThe Client represents and warrants compliance with:\n\n
                                                              \n\n
                                                            • anti-money laundering legislation (AML);<\/li>\n\n
                                                            • sanctions regulations;<\/li>\n\n
                                                            • anti-corruption laws;<\/li>\n\n
                                                            • tax regulations;<\/li>\n\n
                                                            • applicable international laws and regulations.<\/li>\n\n<\/ul>\n\n<\/li>\n\n
                                                              <\/div>\n\n
                                                            • \n\nThe Contractor reserves the right to request additional documentation relating to:\n\n
                                                                \n\n
                                                              • identity;<\/li>\n\n
                                                              • Ultimate Beneficial Owners (UBOs);<\/li>\n\n
                                                              • source of funds;<\/li>\n\n
                                                              • compliance obligations;<\/li>\n\n
                                                              • transaction purposes.<\/li>\n\n<\/ul>\n\n<\/li>\n\n
                                                                <\/div>\n\n
                                                              • \n\nThe Contractor may immediately terminate assignments upon suspicion of:\n\n
                                                                  \n\n
                                                                • money laundering;<\/li>\n\n
                                                                • fraud;<\/li>\n\n
                                                                • corruption;<\/li>\n\n
                                                                • sanctions violations;<\/li>\n\n
                                                                • illegal activities;<\/li>\n\n
                                                                • reputational risks.<\/li>\n\n<\/ul>\n\n<\/li>\n\n
                                                                  <\/div>\n\n
                                                                • \n\nThe Contractor shall not be liable for damages arising from compliance checks or termination under this Article.\n\n<\/li>\n\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                                                  \n\t\t\t\t\t\t\t
                                                                  \n\t\t\t
                                                                  <\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                                                  \n\t\t\t\t\t

                                                                  Article 11 \u2014 Confidentiality<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                                                                  \n\t\t\t\t\t\t\t\t\t
                                                                    \n\n
                                                                  1. \n\nThe parties undertake to maintain strict confidentiality regarding all confidential information.\n\n<\/li>\n\n
                                                                    <\/div>\n\n
                                                                  2. \n\nConfidential information includes but is not limited to:\n\n
                                                                      \n\n
                                                                    • commercial information;<\/li>\n\n
                                                                    • investment information;<\/li>\n\n
                                                                    • contact details;<\/li>\n\n
                                                                    • transaction details;<\/li>\n\n
                                                                    • pricing arrangements;<\/li>\n\n
                                                                    • strategies;<\/li>\n\n
                                                                    • documents;<\/li>\n\n
                                                                    • analyses.<\/li>\n\n<\/ul>\n\n<\/li>\n\n
                                                                      <\/div>\n\n
                                                                    • \n\nThis obligation shall survive termination of the agreement.\n\n<\/li>\n\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                                                      \n\t\t\t\t\t\t\t
                                                                      \n\t\t\t
                                                                      <\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                                                      \n\t\t\t\t\t

                                                                      Article 12 \u2014 Intellectual Property<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                                                                      \n\t\t\t\t\t\t\t\t\t
                                                                        \n\n
                                                                      1. \n\nAll documents, analyses, presentations, strategies, databases, contacts, models and know-how remain the property of the Contractor.\n\n<\/li>\n\n
                                                                        <\/div>\n\n
                                                                      2. \n\nWithout prior written consent, these may not be:\n\n
                                                                          \n\n
                                                                        • copied;<\/li>\n\n
                                                                        • distributed;<\/li>\n\n
                                                                        • shared;<\/li>\n\n
                                                                        • commercially exploited.<\/li>\n\n<\/ul>\n\n<\/li>\n\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                                                          \n\t\t\t\t\t\t\t
                                                                          \n\t\t\t
                                                                          <\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                                                          \n\t\t\t\t\t

                                                                          Article 13 \u2014 Privacy<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                                                                          \n\t\t\t\t\t\t\t\t\t
                                                                            \n\n
                                                                          1. \n\nThe Contractor processes personal data in accordance with applicable privacy laws, including the GDPR.\n\n<\/li>\n\n
                                                                            <\/div>\n\n
                                                                          2. \n\nThe Client indemnifies the Contractor against third-party claims arising from unlawful provision of personal data by the Client.\n\n<\/li>\n\n
                                                                            <\/div>\n\n
                                                                          3. \n\nThe Contractor\u2019s Privacy Policy forms an integral part of these Terms & Conditions.\n\n<\/li>\n\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                                                            \n\t\t\t\t\t\t\t
                                                                            \n\t\t\t
                                                                            <\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
                                                                            \n\t\t\t\t\t

                                                                            Article 14 \u2014 Liability<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                                                                            \n\t\t\t\t\t\t\t\t\t
                                                                              \n\n
                                                                            1. \n\nAny liability of the Contractor shall be limited to the amount paid by the Client to the Contractor during the preceding 6 months, with an absolute maximum of EUR 10,000.\n\n<\/li>\n\n
                                                                              <\/div>\n\n
                                                                            2. \n\nThe Contractor shall never be liable for:\n\n
                                                                                \n\n
                                                                              • indirect damages;<\/li>\n\n
                                                                              • consequential damages;<\/li>\n\n
                                                                              • loss of profits;<\/li>\n\n
                                                                              • missed investments;<\/li>\n\n
                                                                              • reputational damage;<\/li>\n\n
                                                                              • tax damages;<\/li>\n\n
                                                                              • currency losses;<\/li>\n\n
                                                                              • loss of data;<\/li>\n\n
                                                                              • missed opportunities;<\/li>\n\n
                                                                              • damages caused by third parties.<\/li>\n\n<\/ul>\n\n<\/li>\n\n
                                                                                <\/div>\n\n

                                                                                1. \n\nForce majeure means any circumstance beyond the reasonable control of the Contractor.\n\n<\/li>\n\n

                                                                                2. \n\nThis includes but is not limited to:\n\n
                                                                                    \n\n
                                                                                  • war;<\/li>\n\n
                                                                                  • political instability;<\/li>\n\n
                                                                                  • sanctions;<\/li>\n\n
                                                                                  • pandemics;<\/li>\n\n
                                                                                  • strikes;<\/li>\n\n
                                                                                  • government measures;<\/li>\n\n
                                                                                  • cyberattacks;<\/li>\n\n
                                                                                  • power outages;<\/li>\n\n
                                                                                  • internet failures;<\/li>\n\n
                                                                                  • currency crises;<\/li>\n\n
                                                                                  • transportation disruptions.<\/li>\n\n<\/ul>\n\n<\/li>\n\n

                                                                                  • \n\nDuring force majeure, obligations shall be suspended.\n\n<\/li>\n\n

                                                                                      1. The Contractor may immediately suspend or terminate Services if:<\/p>

                                                                                        • the Client defaults;<\/li>
                                                                                        • payment remains outstanding;<\/li>
                                                                                        • compliance risks arise;<\/li>
                                                                                        • reputational damage threatens;<\/li>
                                                                                        • laws or regulations require such action.<\/li><\/ul><\/li><\/ol><\/li><\/ol>
                                                                                          \u00a0<\/div>

                                                                                            1. Services already performed remain fully payable.<\/p><\/li><\/ol><\/li><\/ol>

                                                                                              1. Obligations intended by nature to survive termination shall remain in force, including:<\/p>

                                                                                                • payment obligations;<\/li>
                                                                                                • confidentiality;<\/li>
                                                                                                • limitations of liability;<\/li>
